CHORIX SOCIAL COMMAND SOFTWARE LICENSE AGREEMENT

Effective date: For each Customer, the date of acceptance stated in that Customer's Acceptance Record.

This Chorix Social Command Software License Agreement (the Agreement, or the Master Agreement where it is distinguished from its schedules) is a binding agreement between SPEKTX LLC, a New Jersey limited liability company (SPEKTX, Licensor, we, us, or our), and the individual or legal entity identified in the applicable Order Confirmation and Acceptance Record (Customer, Licensee, you, or your).

1. Incorporated documents

The following documents form part of this Agreement when applicable to the purchase:

  • the Order Confirmation;
  • the Personal Edition Schedule;
  • the IP Ownership Schedule;
  • the License File and Renewal Schedule;
  • the Electronic Acceptance and Acceptance Certificate terms;
  • the Full-Tier Acknowledgment Schedule;
  • the Cancellation, Refund, and Limited Conformity Remedy;
  • the Chorix Social Command Privacy and Local-Operation Notice — Application Schedule (the Privacy Notice), a separate document attached to this package and incorporated by reference (https://chorixstudiosc.com/privacy.html, version SC-PRIVACY-2026.09.26);
  • the Purchase, Delivery, and Chargeback Terms;
  • the Third-Party Notices delivered with the Licensed Version (THIRD-PARTY-NOTICES.txt); and
  • the final Release Feature Manifest and Bundle Manifest for the Licensed Version.

If two documents conflict, the following order controls unless a signed amendment expressly states otherwise:

  1. a separately signed amendment;
  2. the Order Confirmation;
  3. the Full-Tier Acknowledgment Schedule, for the Full Tier only;
  4. the Personal Edition Schedule;
  5. this Master Agreement;
  6. the Release Feature Manifest;
  7. the Bundle Manifest and Documentation.

The Privacy Notice governs how data is handled; it does not enlarge or reduce the license. The Third-Party Notices govern the materials they identify, as Section 16 states.

The Bundle Manifest identifies what was delivered. It does not reduce an Edition entitlement promised by the Order Confirmation and Personal Edition Schedule. A material omission from the delivered package is a delivery defect to be reconciled under the Limited Conformity Remedy, not an automatic amendment of the purchased Edition.

2. Electronic agreement and signature

2.1 Consent to electronic records

You consent to conduct the licensing transaction electronically and to receive the Agreement, schedules, notices, order records, license information, and acceptance certificate in electronic form.

Before acceptance, you must be given a reasonable opportunity to:

  • review the complete applicable agreement package;
  • download, print, or otherwise retain an accurate copy;
  • review the Edition and package scope;
  • review the Full Tier disclosure in Section 11.1;
  • review the monthly price, the renewal and cancellation terms, and what happens if a payment is not received;
  • correct your identifying and signature information; and
  • decline the transaction before payment.

2.2 Signed clickwrap

You sign by personally:

  1. entering your full legal name;
  2. typing that name between forward slashes, in the form /Full Legal Name/;
  3. checking each required acknowledgment; and
  4. selecting a button labeled SIGN AND ACCEPT LICENSE.

By doing so, you adopt the typed signature with intent to sign, affirm the accuracy of the information supplied, and agree to be legally bound by the identified agreement documents.

The slash format is a deliberate electronic-signature convention. It is not notarization, government certification, or a representation that the transaction was filed with or authenticated by any government office.

2.3 Organization authority

If you accept for a company or other legal entity, you represent that you have authority to bind that entity. If you lack that authority, you may accept only in your individual capacity and may not cause the entity to use the license.

2.4 Acceptance Record

SPEKTX may preserve an Acceptance Record containing the fields described in the Electronic Acceptance schedule, including the exact document versions and hashes accepted. The Acceptance Record is evidence of assent and does not grant SPEKTX standing access to Customer's PC, local Social Command data, Provider conversations, Channel accounts, or customer files.

The Acceptance Record is separate from the Full-Tier Acknowledgment Record, which is kept on Customer's own PC under the Full-Tier Acknowledgment Schedule.

3. Definitions

3.1 Acceptance Record

The electronic record evidencing the signer's identity information, assent, signature, applicable documents, versions, hashes, Edition, order, timestamp, and related transaction evidence.

3.2 Authorized User

A natural person permitted to use the Licensed Software under the user quantity stated in the Order Confirmation. A Seat is software, not a person, and is never an Authorized User.

3.3 Bundle Manifest

The inventory, checksum file, release manifest, or comparable record identifying files delivered in the customer package.

3.4 Customer Content

Files, folders, prompts, messages, instructions, campaigns, drafts, media, posts, schedules, credentials, Channel connection details, configurations, data, and other material supplied, selected, or created by Customer for use with Chorix Social Command.

3.5 Developer Tools

Not used. [NOT APPLICABLE TO SC 1.0]

3.6 Documentation

Customer manuals, README.txt, release notes, help materials, first-run guidance, and other materials supplied for the Licensed Version.

3.7 Edition

Chorix Social Command Personal (the SC Personal Edition), as identified in the Order Confirmation and described in the Personal Edition Schedule. It is the only Edition of Licensed Version 1.0.

3.8 Licensed Software

The Chorix Social Command executable software, local web surfaces, launcher and stop scripts, bundled runtime and utilities, Documentation, and other components delivered for the purchased Edition, excluding Third-Party Materials governed by separate terms.

3.9 Licensed Version

The specific release identified in the Order Confirmation, Release Feature Manifest, or Bundle Manifest.

3.10 Order Confirmation

The transaction record identifying the purchaser, Edition, price, billing period, date, license type or quantity, and order or license identifier, and stating that the subscription renews automatically each month until cancelled, the cancellation terms, and how to cancel, including a cancellation link. It is sent to Customer by email, in a form Customer can keep.

3.12 Provider

A third-party AI model, command-line service, API, hosting provider, authentication provider, payment processor, communications provider, or other external service used with or supporting Chorix Social Command. A Channel is also a Provider.

3.13 Release Feature Manifest

The verified release record assigning a feature to an Edition and tracing the feature to source, build inclusion, required package files, acceptance test, and passing result.

3.14 Software IP

The Chorix Social Command source and object code, copyrightable expression, compilations, interfaces, Documentation, branding, trade dress, software know-how, and other software-related intellectual property owned by SPEKTX, excluding Third-Party Materials.

3.15 Source Integration Kit

Not used. [NOT APPLICABLE TO SC 1.0]

3.16 Third-Party Materials

Software, source code, libraries, frameworks, fonts, media, services, or other materials owned or licensed by a party other than SPEKTX.

3.17 User Output

Text, drafts, posts, captions, media, schedules, analysis, decisions, exports, records, proposals, and other output generated through Customer's use of Chorix Social Command or a Provider.

3.18 License File

The digitally signed file issued by SPEKTX for a subscription that identifies the licensee by name, the Edition, the license identifier, and the date through which the subscription is paid (the Paid-Through Date), as described in the License File and Renewal Schedule.

3.19 Seat

A software agent run by the Licensed Software on a Provider's command line under Customer's own sign-in or key, such as the campaign manager Seat, M, and the other Seats of the crew. A Seat is software, not a person.

3.20 Capability Tier

The level of authority at which a Seat runs: read-only, read-write, or read-write-execute. The Full Tier is read-write-execute.

3.21 Channel

A social, video, messaging, or email platform account that Customer connects to the Licensed Software, including accounts with Meta (Facebook and Instagram), Google (YouTube and Gmail), X, TikTok, and LinkedIn.

3.22 Press

An approval that Customer personally makes in the Licensed Software, including an approval to publish, schedule, or send.

3.23 Full-Tier Acknowledgment

The acknowledgment Customer records in the Licensed Software before the first Seat runs, under the Full-Tier Acknowledgment Schedule.

3.24 Grace Period

The 14 days after the Paid-Through Date during which the license continues while a payment is outstanding, as the License File and Renewal Schedule, Section 9, states.

3.25 Update

A patch, fix, or later release of the Licensed Version that SPEKTX makes available to Customer during a paid subscription period.

3.26 Ledger

The record of decisions, approvals, and events kept by the Licensed Software in Customer's local database, as a feature of the Licensed Software. The entries Customer creates in it are Customer's records under Section 12.1.

4. Licensed, not sold

Chorix Social Command is licensed, not sold. Customer receives only the rights expressly granted by this Agreement.

SPEKTX and its applicable licensors retain all ownership in the Software IP. Purchase does not transfer:

  • Chorix Social Command source code;
  • trade secrets;
  • trademarks or trade dress;
  • Chorix Social Command architecture or implementation rights;
  • ownership of the Licensed Software; or
  • any right not expressly stated.

5. License grant

Subject to payment for each subscription period, valid acceptance, and continuing compliance, SPEKTX grants Customer a non-exclusive, limited, non-sublicensable, and non-transferable license to install and use the purchased Edition on one PC for Customer's own lawful work, for each subscription period paid. The subscription is billed monthly and renews each month until cancelled, at the price stated in the Order Confirmation under Section 2 of the Purchase, Delivery, and Chargeback Terms. Cancelling stops the next renewal. If a payment is not received, the license continues through the Grace Period and then lapses, as Section 9 of the License File and Renewal Schedule states. Updates released during a paid period are included.

5.1 Individual license

Unless the Order Confirmation expressly identifies an organization license, the license is for one named Authorized User.

The named user may install and use the Licensed Software on one PC that the user owns or controls, subject to the License File and Renewal Schedule. The Licensed Software is single-tenant: one installation serves one Customer, one workspace, and one PC. The license may not be shared among multiple people or rotated to avoid purchasing required licenses.

One principal on one PC. Each subscription licenses one principal, the named Authorized User, to use the Licensed Software on one PC. This is a term of this Agreement and a limit on permitted use. It is not a technical control: the License File carries no device binding, and the Licensed Software does not claim to enforce this limit. Use beyond it is a breach of this Agreement.

5.2 Organization license

Licensed Version 1.0 is single-tenant and is sold to one named Authorized User. If a later Order Confirmation identifies an organization: use is limited to that organization and its one licensed installation; credentials may not be shared to create unlicensed concurrent use; and contractors may use it only while acting for Customer, under Customer's control, and subject to written obligations at least as protective as this Agreement.

5.3 Commercial work and outputs

Customer may use User Output for lawful personal, professional, internal-business, and commercial client work, including campaigns for Customer's own business, subject to Customer's rights in Customer Content, Provider and Channel terms, third-party rights, and applicable law.

This permission does not allow Customer to distribute, rent, host, sublicense, or resell Chorix Social Command itself.

5.4 No hosted substitute or service bureau

Unless a separate signed agreement expressly permits it, Customer may not:

  • make Chorix Social Command available as a hosted software service;
  • run it as a shared or multi-tenant service;
  • rent access to it;
  • operate it as a service bureau for unrelated third parties;
  • expose its interfaces, including its loopback desk, as a commercial substitute for purchasing a license; or
  • sublicense access to the Licensed Software.

6. Subscription use and Updates

6.1 What the subscription does not promise

The subscription licenses use for each period paid. It does not promise:

  • re-download or hosting after the subscription ends;
  • compatibility with future hardware or operating systems;
  • continued Provider access, including a Provider's command line or a Channel's programming interface;
  • any Provider's pricing;
  • support beyond Section 17;
  • every future feature;
  • every future Update; or
  • every future major version.

Customer should retain the package, Order Confirmation, license information, agreement package, and backups of the data folder.

6.2 Updates

An Update is included only while a subscription period is paid, or when SPEKTX expressly designates it as included. SPEKTX is not obligated to create an Update, maintain every prior build, or backport every later feature.

A future major version may require a separate purchase. Later product changes do not revoke Customer's right to use a previously delivered and retained Licensed Version for the term of the license.

7. Edition and shipping-bundle boundary

The Personal Edition Schedule and Order Confirmation define the purchased entitlement. The Release Feature Manifest proves the shipping feature set. The Bundle Manifest identifies the delivered files.

A website image, simulation, roadmap, prototype, internal source artifact, code path for a hosted version, archived manual statement, or development note does not by itself establish that a feature ships.

Before a feature may be represented as included, the release process should establish:

Marketing claim -> Edition assignment -> source -> build rule -> customer bundle -> acceptance test -> passing result.

8. License key, License File, and entitlement

A license key, License File, purchase code, account entitlement, or similar credential is personal to Customer.

Customer must not:

  • publish or sell it;
  • share it;
  • give a copy of a License File, or of an installation carrying one, to any person who is not the Authorized User;
  • use another customer's credential or License File;
  • use it to unlock an unpurchased Edition, quantity, or term;
  • alter, forge, or remove a License File or the licensee identification it produces; or
  • defeat entitlement, License File, or Edition controls.

The Licensed Software checks the License File's signature on Customer's own PC and may display the licensee's name and the subscription's state. It periodically renews the License File from SPEKTX's site, as Section 4 of the License File and Renewal Schedule states. The Licensed Software may decline to start new work, and may hold scheduled publishing, when no valid License File for the installed Edition is present or the license has lapsed. It will still let Customer read and export Customer's existing records, as Section 12.1 requires.

SPEKTX may validate entitlement on its own website and systems during purchase, delivery, renewal, Update access, or re-download. The renewal sends SPEKTX the License File; entitlement verification and renewal never involve local Social Command content, Provider conversations, or Channel accounts.

SPEKTX may suspend or deactivate server-side entitlement, including download, re-download, and Update access, associated with fraud, a reversed payment, a knowingly false chargeback, public sharing of a license key or License File, circumvention, or material breach. This does not authorize SPEKTX to enter Customer's computer, inspect local work, or delete Customer files.

Every License File identifies the licensee for whom it was issued. A copy of the Licensed Software or of a License File found outside Customer's control may be traced to that purchase.

9. Customer responsibilities

Customer is responsible for:

  • maintaining lawful access to its PC and files;
  • securing license, Provider, and Channel credentials;
  • choosing and casting each Seat's Capability Tier, and the Full-Tier Acknowledgment it records;
  • maintaining backups, including of the data folder %LOCALAPPDATA%\ChorixSocialCommand;
  • reviewing User Output before reliance, publishing, or distribution;
  • every Press it makes;
  • obtaining rights in Customer Content;
  • obtaining required recording, messaging, or privacy consent;
  • creating and holding its own developer applications, keys, and permissions for each Channel;
  • complying with Provider terms and with the terms, policies, developer rules, review requirements, and rate limits of each Channel; and
  • complying with applicable privacy, advertising, consumer-protection, intellectual-property, employment, export, safety, and other laws.

Customer must not direct Chorix Social Command toward data, accounts, networks, files, or systems Customer is not authorized to access.

9.1 Customer indemnity

To the extent permitted by law, Customer will defend, indemnify, and hold harmless SPEKTX and its licensors, and their members, managers, employees, and agents, against every third-party claim, and the resulting losses, damages, fines, penalties, settlements, costs, and reasonable attorneys' fees, arising out of or relating to:

  • Customer Content and User Output, including a claim that it infringes, misappropriates, defames, or otherwise violates a right of a third party;
  • any post, message, or other content published, scheduled, or sent from Customer's Channels, including by Customer's Press;
  • Customer's Channel accounts and the developer applications, keys, and permissions Customer creates or holds for them, including a claim by a platform that Customer broke that platform's terms, policies, or developer rules, and a claim by a Provider that Customer broke that Provider's terms; or
  • Customer's breach of this Agreement or violation of law.

SPEKTX will give Customer prompt written notice of the claim and reasonable cooperation, at Customer's expense, and Customer controls the defense. Customer may not settle a claim in a way that admits fault by SPEKTX or imposes an obligation on SPEKTX without SPEKTX's written consent. This Section does not apply to the extent a claim is caused by SPEKTX's own breach of this Agreement. Where Customer is a consumer and applicable law limits this indemnity, it applies only to the extent that law permits.

10. AI Providers and third-party services

Chorix Social Command runs its Seats on Customer's own Claude or Codex command-line sign-in, using a subscription Customer holds with that Provider, or on the Gemini command line, using Customer's own Gemini API key under Google's terms. Customer must install that command line itself, and sign in to it or supply the key.

Unless expressly stated:

  • SPEKTX does not supply, sell, resell, or control model access or the Provider service;
  • Provider credentials remain subject to the Provider's authentication system;
  • Provider subscriptions, usage fees, plan limits, and API charges are Customer's responsibility;
  • content a Seat works on is sent to the Provider whose sign-in or key the Seat uses, and Provider terms and privacy practices govern Provider processing; and
  • Provider availability and changes are outside SPEKTX's control.

Provider output may be inaccurate, incomplete, biased, unsafe, non-original, or unsuitable. SPEKTX does not warrant factual accuracy, originality, legal status, or fitness of Provider output.

10.1 Channels are Customer's

Each Channel is Customer's own account, held under Customer's agreement with that platform. Customer connects it, and Customer's platform terms govern it. SPEKTX is not a party to that agreement, does not hold Customer's Channel applications or keys, and does not warrant that any platform will approve, keep, or not restrict or suspend Customer's application, account, or content.

11. Autonomous actions and human authority

Depending on Edition, configuration, Capability Tier, and Provider capability, Chorix Social Command may facilitate reading, searching, writing, editing, deleting, tool invocation, command execution, drafting, scheduling, publishing, sending, external navigation, or other configured actions.

Customer controls and is responsible for the grants and permissions it authorizes, and for every action the Seats take on Customer's PC and in Customer's accounts, including commands they run, files they change, and messages or posts they send.

Approval gates, Capability Tiers, limits, decision records, and stop controls are risk controls, not guarantees against defects, mistaken approvals, unauthorized configuration, prompt injection, Provider failure, data loss, or human error.

Customer must maintain backups and use heightened caution for write, delete, execution, publishing, payment, disclosure, security, or device-control permissions.

Chorix Social Command is not a substitute for licensed legal, medical, financial, engineering, safety, compliance, or other professional judgment.

The Licensed Software is not authorized as the sole control for life-support, emergency response, medical treatment, nuclear facilities, weapons, aviation or vehicle safety, industrial safety interlocks, or another use where failure could reasonably cause death, bodily injury, or catastrophic damage.

11.1 The Full Tier

Seats run at the Full Tier by default.

At the full tier, which is the default, the AI agents in this app can run any command on this PC as you, and content they read from the web, RSS feeds or Gmail can carry hidden instructions (prompt injection) that reach that command line.

At the Full Tier, Claude is launched with --permission-mode bypassPermissions, Codex is launched with danger-full-access and --ask-for-approval never, and Gemini is launched with --approval-mode yolo. None of these command lines stops to ask Customer before it runs a command. A command a Seat runs has the same access to the PC, its files, its network, and Customer's signed-in accounts as Customer has. A Seat may be cast at a lower Capability Tier (read-write or read-only) instead.

Customer accepts this as a consequence of running the Licensed Software at the Full Tier. Before the first Seat runs, Customer records the Full-Tier Acknowledgment under the Full-Tier Acknowledgment Schedule. That acknowledgment is evidence of this disclosure; it does not narrow this Section.

11.2 Publishing is by Customer's Press

An approval to publish, schedule, or send is Customer's own Press. When Customer approves, Customer is the one publishing, under Customer's Channel accounts. SPEKTX does not review, approve, publish, or send anything on Customer's behalf.

User Output is produced by Seats running on Providers' models. It may be inaccurate, incomplete, infringing, unlawful, or unsuitable for a Channel, as Section 10 states. Customer must review each post, message, and other User Output before Customer's Press approves it, and Customer is responsible for what that Press publishes, schedules, or sends. SPEKTX does not see User Output before Customer approves it.

12. Customer Content and User Output

As between Customer and SPEKTX, Customer retains its rights in Customer Content and User Output, subject to applicable law, Provider and Channel terms, third-party rights, and rights Customer does not own in underlying material.

SPEKTX does not claim ownership merely because Chorix Social Command was used.

12.1 Customer's records are always reachable

The records Customer creates with Chorix Social Command, including its ledger entries, decisions, campaigns, drafts, histories, media, settings, and exports, are stored on Customer's own PC, under %LOCALAPPDATA%\ChorixSocialCommand, and belong to Customer. SPEKTX's ownership of the Chorix Social Command software, including its Ledger as a feature of that software, does not extend to the ledger or other records Customer creates with it.

Customer's ability to read, copy, and export those records does not depend on a valid License File, on the license remaining in force, on any connection to SPEKTX, or on SPEKTX continuing to operate. No license control in the Licensed Software may delete, encrypt, withhold, or alter Customer's records.

If Customer voluntarily sends diagnostic material for support, Customer grants SPEKTX a limited right to use it only to investigate, secure, support, or improve the reported issue. Customer should remove unrelated confidential or personal material before submission.

13. Restrictions

Except where this Agreement or non-waivable law expressly permits otherwise, Customer may not:

13.1 Distribution and access

  • redistribute, resell, sublicense, rent, lease, lend, or transfer the Licensed Software;
  • run it on more than one PC at a time under one license;
  • publish a license credential;
  • permit unlicensed users to use it;
  • make it available in a public repository;
  • distribute the package within another product; or
  • host it as a substitute access service.

13.2 Modification and reverse engineering

  • modify the Licensed Software;
  • translate, adapt, or create derivative versions;
  • extract or reconstruct source code;
  • decompile, disassemble, or reverse engineer;
  • remove technical restrictions; or
  • separate components for independent use;

except for activity that applicable law, or a third-party license under Section 16, affirmatively permits.

Any lawfully obtained interoperability information may be used only for the legally permitted purpose and not to create or distribute a Chorix Social Command clone or disclose protected material beyond what law permits.

13.3 Circumvention

Customer may not bypass, disable, falsify, or interfere with Edition boundaries, entitlement controls, a License File or its verification, Provider restrictions, Channel restrictions, Capability Tiers, approval gates, the Full-Tier Acknowledgment, permission boundaries, usage limits, security controls, or safety mechanisms.

13.4 Competitive cloning

Customer may not use the Licensed Software, non-public Documentation, confidential materials, or protected Chorix Social Command implementation details to create, train, validate, or assist in creating a product whose primary purpose is to substantially reproduce Chorix Social Command's protected combination of campaign desk, Seat crew, Ledger, approval gating, and interaction system.

This restriction does not prohibit independently developed software created without use of non-public Chorix Social Command materials, or general-purpose developer tools.

13.5 Notices and branding

Customer may not remove or alter copyright, trademark, attribution, source-origin, license, or third-party notices, including LICENSE.txt and THIRD-PARTY-NOTICES.txt, or the licensee identification displayed by the Licensed Software.

13.6 Unlawful use and acceptable use

Customer may not use Chorix Social Command to violate law, violate a Channel's terms, infringe rights, gain unauthorized access, distribute malware, send unlawful unsolicited messages, evade security controls, conduct unlawful surveillance, impersonate another person, or deceive a person about the source or authority of a post, message, or other consequential action.

Nor may Customer use it to:

  • create fake accounts or fake engagement, run coordinated inauthentic activity, or otherwise manipulate a Channel's metrics, ranking, or recommendations;
  • evade a Channel's rate limits, review requirements, or enforcement actions, or collect data from a Channel in breach of its terms;
  • publish or send content that is unlawful, infringing, defamatory, harassing, or threatening, or that sexually exploits a minor;
  • send commercial messages without the consent, sender identification, or opt-out that applicable law requires;
  • present AI-generated content as made by a person where applicable law or a Channel's rules require disclosure; or
  • probe, attack, or overload a system that Customer is not authorized to test.

14. Intellectual property

14.1 Software ownership

SPEKTX owns the Software IP, subject to Third-Party Materials and any rights expressly identified as belonging to another party. Copyright (c) 2026 SPEKTX LLC. All rights reserved.

14.4 No implied rights

No intellectual-property license arises by implication, estoppel, course of dealing, or otherwise. All rights not expressly granted are reserved.

14.5 Trademarks

Chorix, Chorix Social Command, and related product and surface names are claimed as trademarks or source identifiers of SPEKTX. Customer may make truthful referential use to identify the genuine product but may not imply endorsement, register confusingly similar marks, or apply Chorix branding to a modified or unrelated product.

15. Confidential and non-public materials

Non-public source code, internal architecture, unreleased specifications, security information, private build material, and similar material designated confidential must be used only for the licensed purpose and protected with reasonable care.

Customer must limit access to people who need it and are bound by equivalent restrictions, avoid public repositories and public model-training systems, and notify SPEKTX of known unauthorized disclosure.

Confidential information excludes material Customer can document was lawfully known without restriction, became public without breach, was lawfully received from an unrestricted third party, or was independently developed without protected material.

16. Third-Party Materials

Third-Party Materials remain governed by their applicable licenses. The Third-Party Notices delivered with the Licensed Version (THIRD-PARTY-NOTICES.txt) are incorporated for those materials.

Where a third-party license grants broader rights for that material, the third-party license controls for that material only. Nothing in this Agreement restricts rights granted under an applicable open-source license. Where a component is licensed under the GNU Lesser General Public License, nothing in this Agreement restricts Customer's right to modify that component, to replace it with a modified version, or to reverse engineer the Licensed Software to the extent needed to debug such modifications, as that license requires.

17. Support

No support, maintenance, consulting, customization, or response time is included unless expressly stated in the Order Confirmation or a separate written support policy or agreement. Support requests may be sent to admin@chorixstudiosc.com.

Voluntary assistance does not create a continuing or lifetime-support obligation. SPEKTX does not support a Provider's command line, a Provider subscription, or a Channel's platform.

18. Refunds and cancellation

Customer may cancel a subscription at any time. Cancellation stops the next renewal. A paid period already begun is not refunded, except where non-waivable law requires otherwise. The Limited Conformity Remedy in Section 19, and any consumer right that cannot lawfully be excluded, are unaffected.

A partial refund of a payment does not end the subscription or the license; they continue as before. A full refund of a payment ends the subscription, and the license lapses with it.

If Customer cancels before a renewal date and a renewal payment is still charged for that date, SPEKTX will refund that payment in full within 10 business days after SPEKTX learns of it, whether from Customer's report to admin@chorixstudiosc.com or otherwise, and the subscription and the license are not renewed. Customer does not need to dispute the charge with a card issuer or payment provider to receive this refund. The license still runs to the end of the period Customer paid for before cancelling.

Customer is responsible for reviewing product descriptions, demonstrations, system requirements, Edition scope, the Full Tier disclosure in Section 11.1, Provider and Channel requirements, and purchase terms, including the price and the renewal terms, before completing the purchase and before beginning the download.

The separate Cancellation, Refund, and Limited Conformity Remedy is incorporated into this Agreement.

19. Limited Conformity Remedy

If a reproducible material defect attributable to SPEKTX causes the delivered package to fail materially to conform to the purchased Edition and verified Release Feature Manifest, SPEKTX will use commercially reasonable efforts to reconcile the package through corrected files, repair, re-delivery, replacement package, patch, Update, instructions, configuration correction, or reasonable workaround.

Reconciliation is attempted first. Where SPEKTX cannot resolve a verified SPEKTX-side package defect through reconciliation within a reasonable time, SPEKTX will refund the price paid for the affected license.

Except where non-waivable law requires otherwise, reconciliation and, failing that, this refund are Customer's sole contractual remedies for a SPEKTX-side package defect.

This Section, with Sections 4 to 6 of the Cancellation, Refund, and Limited Conformity Remedy, is the Limited Conformity Remedy.

20. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR THE EXPRESS LIMITED CONFORMITY REMEDY, THE LICENSED SOFTWARE, DOCUMENTATION, AND SUPPORT ARE PROVIDED AS IS AND AS AVAILABLE.

SPEKTX AND ITS LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

NO ADVICE OR INFORMATION, ORAL OR WRITTEN, OBTAINED FROM SPEKTX, FROM A SEAT, OR THROUGH THE LICENSED SOFTWARE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

No warranty is made that operation will be uninterrupted or error-free, every defect will be corrected, a Provider or Channel will remain available, a Channel will approve or keep Customer's application or account, User Output will be accurate or original, prompt injection or other misuse of a Seat can be prevented, a safety control cannot fail, or a later release will preserve every feature.

Some jurisdictions do not permit certain exclusions, so the exclusions apply only to the maximum lawful extent.

21. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEKTX AND ITS LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR RELIANCE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, ACCOUNTS, BUSINESS, OPPORTUNITY, PROVIDER CHARGES, BUSINESS INTERRUPTION, SUBSTITUTE SOFTWARE, MODEL OUTPUT, CUSTOMER-AUTHORIZED ACTIONS, COMMANDS RUN BY A SEAT, PROMPT INJECTION, POSTS OR MESSAGES CUSTOMER APPROVED, A CHANNEL'S ACTION AGAINST CUSTOMER'S ACCOUNT, OR FAILURE TO MAINTAIN BACKUPS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF SPEKTX HAS BEEN ADVISED OF THEIR POSSIBILITY.

SPEKTX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE LICENSED SOFTWARE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT CUSTOMER PAID SPEKTX FOR THE LICENSE IN THE TWELVE MONTHS BEFORE THE CLAIM AND (B) US$100. THESE LIMITATIONS APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

The exclusion of damages in the first paragraph of this Section and the limit on total liability in the second paragraph do not apply to liability for SPEKTX's gross negligence or wilful misconduct, or for death or personal injury caused by SPEKTX, to the extent applicable law does not permit that liability to be limited.

These limitations do not apply where prohibited by law or to liability that cannot lawfully be excluded. They do not limit Customer's payment obligations, Customer's obligations under Section 9.1, liability for unauthorized redistribution, misuse or disclosure of non-public materials, infringement or misappropriation, or deliberate circumvention.

22. Term and termination

22.1 Term

This Agreement begins upon valid acceptance and continues until terminated. The license continues for each paid subscription period. If a payment is not received, it lapses as Section 9 of the License File and Renewal Schedule states, and is restored when payment is received and the License File is renewed. It ends when a cancelled subscription reaches the end of its paid period, or, if SPEKTX stops offering Chorix Social Command, at the end of the last paid period, as Section 22.6 states.

22.2 Termination for breach

SPEKTX may terminate for material breach if Customer fails to cure a curable breach within fifteen days after written notice.

SPEKTX may terminate immediately for unauthorized redistribution, public disclosure of non-public materials, deliberate sharing of a license key or License File, circumvention, fraudulent purchase, material infringement or misappropriation, or unlawful use creating substantial risk.

Customer may end the license at any time by deleting the Licensed Software. Deleting the Licensed Software does not cancel the subscription; Customer cancels it as Section 18 states.

22.3 Payment reversal

A reversed payment, fraudulent transaction, or knowingly false chargeback may suspend or terminate entitlement. Nothing limits a payment dispute right that applicable law or payment-network rules make non-waivable.

22.4 Effect

Upon termination, Customer must stop using and delete the terminated Licensed Software, except records required by law. Termination does not transfer Customer Content or User Output to SPEKTX, and Section 12.1 survives it: Customer keeps its own records in %LOCALAPPDATA%\ChorixSocialCommand and may export or copy them before deleting the Licensed Software. The uninstaller delivered with the Licensed Software, UNINSTALL.cmd, asks Customer to type UNINSTALL to confirm, offers that export first, and then deletes that folder; it leaves the files the Licensed Software writes to the Windows temp folder, the histories the Providers' command-line tools keep, and the program folder, and it does not withdraw access Customer gave to a Channel.

When the license ends, the subscription ends with it and SPEKTX takes no further renewal payment. Termination for Customer's breach does not entitle Customer to a refund of a paid period, except where non-waivable law requires otherwise. Amounts due before termination remain due.

22.5 Survival

Ownership, restrictions, confidentiality, Customer's indemnity in Section 9.1, the Full Tier disclosure in Section 11.1, Customer's records under Section 12.1, disclaimers, liability limitations, accrued obligations, dispute terms, and general provisions survive.

22.6 If SPEKTX stops offering Chorix Social Command

If SPEKTX decides to stop offering Chorix Social Command, SPEKTX will give Customer at least 60 days' notice by email, to the address in the Order Confirmation, before the date on which it stops, and will take no renewal payment after that notice is sent. The license continues to the end of the last period Customer has paid for. After that, Customer's records stay readable and exportable in the Licensed Software, as Section 12.1 states.

23. Assignment and transfer

Customer may not assign, transfer, sell, or sublicense this Agreement without SPEKTX's prior written consent.

SPEKTX may assign this Agreement in connection with a merger, reorganization, financing, sale of Chorix Social Command, sale of substantially all relevant assets, or transfer to an affiliate or successor. Any attempted assignment in breach of this Section is void.

24. Export and sanctions

Customer must comply with applicable export-control, sanctions, and trade laws, including those of the United States, and may not provide the Licensed Software to a prohibited person, destination, or end use.

Customer represents that Customer is not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive United States sanctions, and is not named on, or owned or controlled by a party named on, a United States government list of prohibited or restricted parties. SPEKTX may refuse, suspend, or end a subscription where continuing it would breach those laws.

25. Disputes, governing law, and venue

Before filing a non-urgent dispute, the complaining party must send a written description to the other party and allow thirty days for good-faith informal resolution.

This Agreement is governed by New Jersey law, without regard to conflict-of-law rules. Subject to mandatory consumer law and to the small-claims option in the next paragraph, the state and federal courts located in New Jersey have exclusive jurisdiction, and the parties consent to personal jurisdiction and venue there.

Either party may instead bring an individual claim in a small-claims court that has jurisdiction over it, for as long as the claim stays within that court's limits.

Nothing removes a non-waivable consumer right, as Section 28.10 states. This Agreement does not require private arbitration and does not contain a class-action waiver.

Either party may seek urgent equitable relief for source disclosure, infringement, circumvention, security misuse, or another harm not adequately remedied by money.

26. Notices

Routine and contractual notices to SPEKTX must be sent to admin@chorixstudiosc.com. Where law requires a notice to be sent by post, it goes to SPEKTX LLC, c/o Northwest Registered Agent LLC, 971 US Highway 202N, Ste N, Branchburg, New Jersey 08876.

SPEKTX may send notices to the email associated with Customer's Order Confirmation, entitlement, or Acceptance Record. Each party must maintain a current email address.

Email notice is considered received when it reaches the designated information system without a permanent delivery-failure response, subject to any different rule required by law.

This provision does not replace legally required service of process, subpoenas, or court papers, which must be served through a method authorized by law.

27. Changes to terms

The agreement version accepted at purchase governs that purchase until a change takes effect under the next paragraph. SPEKTX may revise terms for future transactions but will not retroactively reduce the rights granted for a purchased Licensed Version without Customer's affirmative agreement.

Because the subscription renews each month, SPEKTX may change this Agreement, or the standard price, for subscription periods that have not yet begun. SPEKTX will email the change to the address in Customer's Order Confirmation at least 30 days before the first renewal on which it takes effect, and will state the new version and what changed. A change never applies to a period Customer has already paid for. No change to the price or to this Agreement applies to Customer's subscription on less than 30 days' notice. If Customer does not accept the change, Customer may cancel before that renewal, as Section 18 states, and the current terms continue to the end of the paid period. A change to the price does not remove an early-bird price kept under Section 2 of the Purchase, Delivery, and Chargeback Terms while the subscription stays active. Where a change is material, or law requires fresh consent, SPEKTX will ask Customer to accept the new version, under Section 8 of the Electronic Acceptance schedule.

A materially new service, a separately supplied component, or a material change to the Full-Tier Acknowledgment wording may require a new addendum or renewed acceptance.

28. General terms

28.1 Entire agreement

The incorporated documents are the entire agreement concerning the Licensed Software and replace prior representations on the same subject. If a summary of this Agreement, including the terms summary page on SPEKTX's site, or any marketing or product page differs from this Agreement, this Agreement governs.

28.2 No reliance on unverified claims

Binding feature scope comes from the Order Confirmation, Personal Edition Schedule, Release Feature Manifest, and delivered package, not an obsolete manual, prototype, roadmap, or development note.

28.3 Severability

If a provision is unenforceable, it will be enforced to the maximum lawful extent or narrowed as necessary, and the remainder remains effective.

28.4 Waiver

Failure to enforce is not a waiver. A waiver must be written and applies only to the stated instance.

28.5 Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including an outage, restriction, or change of a Provider's service or a Channel's programming interface, except Customer's obligation to pay amounts already due.

28.6 No agency or fiduciary duty

The Agreement creates no partnership, joint venture, employment, fiduciary, or agency relationship. No Seat acts as SPEKTX's agent.

28.7 No third-party beneficiaries

Except applicable licensors where expressly protected, no third party is a beneficiary.

28.8 Construction

Headings do not alter meaning. "Including" means "including without limitation." Singular includes plural where context requires. Written notice includes a retainable electronic record.

28.9 English

The English version controls unless mandatory law requires otherwise.

28.10 Consumer rights

Nothing in this Agreement excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, that the law of Customer's place of residence gives Customer as a consumer and does not allow to be excluded, restricted, or modified. Where such a law applies, each disclaimer, limitation, and exclusion in this Agreement applies only to the extent that law permits.

29. Acceptance

Customer accepts this Agreement through the signed-clickwrap process described in the Electronic Acceptance schedule. The Acceptance Record and certificate identify the final agreement version, schedules, and hashes accepted. The Full-Tier Acknowledgment is recorded separately, in the Licensed Software, before the first Seat runs.


CHORIX SOCIAL COMMAND PERSONAL EDITION SCHEDULE

This Schedule forms part of the Chorix Social Command Software License Agreement when the Order Confirmation identifies Chorix Social Command Personal. It is the only Edition of Licensed Version 1.0.

1. Edition purpose

Chorix Social Command Personal is a local-first, single-tenant campaign desk that runs on Customer's own PC. One campaign manager Seat, M, drives the work, on Customer's own Provider sign-in or key, and everything it needs runs beside it on the same PC. There is no hosted service and no shared account.

2. Feature-binding rule

A feature is represented as shipping only when it is assigned to the Personal Edition, included in the exact customer package where required, accessible through the intended customer path, and verified by the Release Feature Manifest.

A source-tree artifact, code path for a hosted version, simulation, screenshot, prototype, roadmap item, or historical manual statement does not independently establish inclusion.

3. Included core surfaces

Subject to the Release Feature Manifest, the Personal Edition includes:

  • the desk, served on the loopback address (127.0.0.1) and reachable only from Customer's PC;
  • the Podium, on Customer's phone, where Customer's verbs and acknowledgments are ruled;
  • the Booth, in its own window on Customer's PC or on a tablet paired with that PC;
  • M, the campaign manager Seat, and the other Seats of the crew;
  • the Ledger, kept in Customer's local database;
  • Channel connection for the Channels identified in the Release Feature Manifest; and
  • supporting local surfaces required to operate those components, including the embedded database, the local session, and the bridge that runs the Seats.

4. Stage configuration

The Personal Edition provides supported forms of:

  • M;
  • the other Seats of the crew;
  • Seat casting, including Provider, model, effort, and Capability Tier;
  • the Full-Tier Acknowledgment;
  • Channel connection;
  • approvals and Presses to publish, schedule, or send;
  • the Ledger; and
  • start and stop controls.

5. Capability Tier boundary

A Seat runs at one of three Capability Tiers: read-only, read-write, or read-write-execute. A Seat that is not cast, or a cast that names no tier, runs at the default tier, which is the Full Tier (read-write-execute), as Section 11.1 of the Master Agreement states.

Availability also depends on the Provider, operating system, workspace permissions, and Release Feature Manifest.

6. Booth

The Booth is the tablet surface included in the Licensed Version. It opens from the desk in its own window, on Customer's PC or on a tablet paired with that PC, and shows the desk's working view, M and the other Seats, and a workboard, with the Podium docked beside them. The Booth is part of the Licensed Software under this Agreement. Controls may vary by current run state and verified implementation.

7. Podium

The Podium is the human-authority surface included in the Licensed Version, on Customer's phone. Controls may vary by current run state and verified implementation.

8. Pendant

9. Viewer

10. Providers

The Personal Edition connects to supported Providers through mechanisms included in the Licensed Version, including the Claude, Codex and Gemini command lines. Provider accounts, subscriptions, keys, costs, terms, and availability remain separate from the license. The same is true of every Channel.

11. Personal Edition exclusions

The Personal Edition does not include:

  • a hosted, multi-tenant, or shared-account service;
  • model access, a Provider subscription, a Provider sign-in, or a Provider key;
  • a Channel account, a Channel developer application, or Channel approval; or
  • any component the Release Feature Manifest does not list.

The absence of an excluded component is an Edition boundary, not a defect.


CHORIX SOCIAL COMMAND IP OWNERSHIP SCHEDULE

7. Confidential technical specifications

Confidential technical specifications and internal technical records are not distributed as part of the customer license package. The customer license reserves rights without disclosing proprietary implementation details.


CHORIX SOCIAL COMMAND LICENSE FILE AND RENEWAL SCHEDULE

This Schedule forms part of the Chorix Social Command Software License Agreement. It applies to every Licensed Version sold as a subscription; each is delivered with a License File.

1. Purpose

The License File is how a genuine copy of Chorix Social Command shows whom it is licensed to and the date through which its subscription is paid. The Licensed Software checks it on Customer's own PC and renews it from SPEKTX's site, as Section 4 states.

2. What the License File contains

The License File may contain: the licensee's full legal name as signed in the Acceptance Record; the Edition; the license identifier and order reference; the Paid-Through Date; the version and hash of the agreement package accepted; the date of issue; and SPEKTX's digital signature over those contents.

It contains no payment-card data, no password, no Provider or Channel credential, and nothing from Customer Content.

3. Checking the License File on Customer's PC

The Licensed Software checks the License File's signature locally, against a public key delivered inside the Licensed Software, and reads the Paid-Through Date to decide whether the license is paid, in its Grace Period, or lapsed under Section 9.

4. Renewal check

The Licensed Software periodically renews its signed License File from SPEKTX's site. The renewal sends the current License File; SPEKTX returns a freshly signed License File with the new Paid-Through Date while the subscription is active, and declines otherwise. If the renewal cannot reach SPEKTX, or SPEKTX declines it, the Licensed Software keeps the License File it has. The renewal sends no Customer Content, Provider conversation, or Channel account data. What it sends, where it goes, and how long SPEKTX keeps it are set out in the Privacy Notice.

Customer may also renew by hand: download a fresh License File from the account page on SPEKTX's site and adopt it on the license screen in the Licensed Software.

5. Display of the licensee

The Licensed Software may display the licensee's name and Edition in its interface. That display is a notice under Section 13.5 of the Master Agreement and may not be removed, altered, or obscured.

6. Personal to the licensee

The License File is personal to the named licensee. Customer may keep backup copies and may place the License File on the one PC the Authorized User owns or controls. Customer may not give the License File, or an installation carrying it, to anyone else.

7. Traceability

Every License File identifies the purchase for which it was issued. A License File, or a copy of the Licensed Software carrying one, found in a public location or in the possession of a person who is not the Authorized User may be traced to that purchase.

8. Tampering and sharing

Altering, forging, or removing a License File, defeating its verification, or sharing it outside the license is circumvention under Section 13.3 of the Master Agreement and a ground for immediate termination under Section 22.2 of the Master Agreement. SPEKTX may also deactivate the associated server-side entitlement under Section 8 of the Master Agreement.

Nothing in this Schedule authorizes SPEKTX to enter Customer's computer, inspect local work, or delete Customer files.

9. Lapse; Customer's records are never behind the License File

After the Paid-Through Date there is a Grace Period of 14 days, during which work and publishing continue and the Licensed Software shows the days left. If payment is still not received when the Grace Period ends, the license lapses: starting work and publishing stop until payment is received and the License File is renewed. Scheduled releases are held, not deleted. The Licensed Software still starts, and Customer's records stay readable and exportable. When payment is received and the License File is renewed, work resumes; scheduled releases whose time has not yet come resume, and releases whose time passed during the lapse wait for Customer's Press to release them. Nothing is deleted at any step.

Without a valid License File the Licensed Software may refuse to start new work. It will not refuse Customer its own records: reading, copying, and exporting existing ledger entries, campaigns, drafts, histories, and exports remains available, under Section 12.1 of the Master Agreement.

10. Replacement

While the subscription is active and SPEKTX maintains its delivery service, a lost License File may be re-issued to the licensee through the download process. Section 6.1 of the Master Agreement applies: the subscription does not include a promise of hosting after it ends.


CHORIX SOCIAL COMMAND ELECTRONIC ACCEPTANCE AND ACCEPTANCE CERTIFICATE

1. Acceptance flow

Acceptance takes place after payment and before download, on SPEKTX's signing page, in this order:

  1. The complete agreement package for the Edition is presented, identified by its version and SHA-256 hash, and is available to download and retain.
  2. The monthly price, the renewal and cancellation terms, and the lapse terms are presented again.
  3. Customer enters a full legal name and, when accepting for an organization, the organization's legal name and the signer's title.
  4. Customer ticks each required acknowledgment. No acknowledgment is ticked in advance.
  5. Customer personally types /Full Legal Name/ as the electronic signature.
  6. Customer selects the button labeled SIGN AND ACCEPT LICENSE.
  7. SPEKTX records the Acceptance Record. No package and no License File is delivered until that record exists.

The Full-Tier Acknowledgment is not part of this flow. It is recorded later, in the Licensed Software on Customer's PC, before the first Seat runs, under the Full-Tier Acknowledgment Schedule.

2. Acknowledgments

I have had the opportunity to review the complete Chorix Social Command Customer License Package for my Edition, identified by the version and SHA-256 hash shown on this page, and I agree to be bound by it.

2.5 Organization authority, when an organization is named

I am authorized to bind the organization named on this page to the identified Chorix Social Command license documents.

2.6 My own AI sign-in or key, my Channels, and the Full Tier

I understand that Chorix Social Command runs on my own Claude or Codex command-line sign-in and subscription, or on the Gemini command line with my own Gemini API key, which SPEKTX does not supply; that the Channels I connect are my own accounts under my own platform terms; that publishing happens only by my own press; and that I have read Section 11.1 of the Agreement on the full tier, which the app will ask me to acknowledge again before the first seat runs.

7. Customer copy

On request to admin@chorixstudiosc.com, SPEKTX will provide Customer: the complete accepted agreement package; the Acceptance Certificate; agreement versions and hashes; the Edition and license identifier; and the acceptance timestamp.

8. Material changes

Renewed acceptance is required only for a materially changed contract, a separately licensed component, or another change that legally or contractually requires renewed assent. An ordinary software patch does not require a new signature.


CHORIX SOCIAL COMMAND FULL-TIER ACKNOWLEDGMENT SCHEDULE

This Schedule forms part of the Chorix Social Command Software License Agreement. The acknowledgment is fixed text, stored word for word, and its box is unticked by default.

1. Purpose

The Full-Tier Acknowledgment is the one acknowledgment Customer records in the Licensed Software before the first Seat runs. It puts the disclosure in Section 11.1 of the Master Agreement in front of Customer at the moment it matters, and keeps a record that Customer saw it.

2. When it is recorded

The Licensed Software presents the Full-Tier Acknowledgment before the first Seat runs, and does not start a Seat at the Full Tier until Customer has recorded it.

3. The key sentence

The acknowledgment contains, word for word, the key sentence of Section 11.1 of the Master Agreement:

At the full tier, which is the default, the AI agents in this app can run any command on this PC as you, and content they read from the web, RSS feeds or Gmail can carry hidden instructions (prompt injection) that reach that command line.

4. The screen

The screen title, body, checkbox label, and button label are those of the Full-Tier Acknowledgment wording version in force (wording version SC-CONSENT-1). The checkbox is unticked by default. The wording in force for each package version is stored word for word with this Schedule when the package is issued.

5. What is recorded

When Customer presses the button, the Licensed Software writes one row to Customer's Ledger, on Customer's own PC, containing: the UTC timestamp; the acknowledgment wording version; the agreement version; and the Seat and Capability Tier in force. The row is not sent to SPEKTX, and SPEKTX gains no access to it.

6. Recast reminder

When a Seat is cast at the Full Tier again, the Licensed Software shows a one-line reminder.

7. Relationship to the Agreement

The Full-Tier Acknowledgment is evidence of the disclosure in Section 11.1 of the Master Agreement. It does not narrow or replace Sections 9, 11 and 11.1 of the Master Agreement, and it does not grant SPEKTX standing access to Customer's PC or records.

8. Changes

A material change to the acknowledgment wording requires Customer to record the acknowledgment again before the next Seat runs at the Full Tier.


CHORIX SOCIAL COMMAND CANCELLATION, REFUND, AND LIMITED CONFORMITY REMEDY

1. Cancellation stops the next renewal; a paid period is not refunded

Customer may cancel a Chorix Social Command subscription at any time, through the cancellation link in the Order Confirmation or by writing to admin@chorixstudiosc.com. Cancellation stops the next renewal; the license continues to the end of the period already paid. A paid period already begun is not refunded, except where non-waivable applicable law expressly requires otherwise. No money-back or satisfaction guarantee applies; no trial period is implied; no exchange is promised; and no store credit is promised.

A renewal payment charged after a cancellation made before the renewal date is not a paid period already begun: it is refunded in full, as Master Agreement Section 18 states.

The Limited Conformity Remedy in Sections 4 to 6, and any consumer right that cannot lawfully be excluded, are unaffected.

2. No refund of a paid period for purchaser-side reasons

After a paid period begins, no voluntary refund, credit, cancellation, or exchange is provided because of: change of mind; failure to read product information or the Full Tier disclosure; failure to review system requirements; failure to use or learn the software; lack of time; dissatisfaction with a Provider or Channel; Provider pricing, outages, restrictions, or model changes; a Channel's refusal, restriction, or suspension of Customer's application or account; unsupported hardware or operating systems; missing or invalid Customer credentials, including a missing Provider sign-in or key; Customer configuration, network, or security software; Customer modification of the package; lost package or license information; subjective expectations not contained in written terms; or an assumption that a roadmap item, preview, hosted service, or future major version was included.

3. Acknowledgments at Checkout

There are five, each unticked by default: "I have read and agree to the Chorix Social Command Terms & License and the Privacy Notice."; "I acknowledge that cancelling my subscription stops the next renewal, and that a paid period already begun is not refunded."; "I request that my Chorix Social Command subscription begin, and the software be made available for download, immediately, and I expressly consent to supply beginning now, before any cancellation period (in the EU and UK, 14 days) has ended."; "I acknowledge that my right to cancel this contract within a statutory cancellation period (in the EU and UK, 14 days), and to obtain a refund for the period already begun, will be lost once supply begins, and that I can still cancel at any time to stop the next renewal."; and "I authorize SPEKTX to charge my payment method each month for Chorix Social Command, at the price shown at Checkout, until I cancel. Cancelling stops the next renewal." The early-bird term is shown with them.

4. SPEKTX-side defect

A SPEKTX-Side Defect is a reproducible material failure attributable to the package supplied by SPEKTX that causes the delivered package to: fail to start under its supported procedure; fail to launch on a supported system; omit a feature expressly included in the Edition and verified Release Feature Manifest; contain a broken required path or missing required runtime file; materially fail to perform an expressly documented shipping function; or otherwise materially fail to conform to the Order Confirmation, Personal Edition Schedule, and verified shipping manifest.

A SPEKTX-Side Defect does not include a condition caused by unsupported hardware or software, Provider or Channel changes, Customer credentials, Customer files, Customer modification, malware, security software, network policy, unavailable third-party services, failure to follow instructions, use outside documented scope, a command a Seat ran at a Capability Tier Customer cast or left at the default, or subjective preference.

5. Reconciliation obligation

If Customer reports a verified SPEKTX-Side Defect with sufficient information to reproduce or confirm it, SPEKTX will use commercially reasonable efforts to reconcile the package so it materially functions as intended for the Edition. At SPEKTX's discretion, reconciliation may include corrected files, a repaired bundle, re-delivery, a replacement package, a patch or Update, corrected instructions, configuration correction, a reasonable workaround, or another technically appropriate correction.

6. Remedy order

Reconciliation is attempted first. Where SPEKTX cannot resolve a verified SPEKTX-Side Defect through reconciliation within a reasonable time, SPEKTX will refund the price paid for the affected license.

Except where non-waivable law requires otherwise, reconciliation and, failing that, this refund are Customer's sole contractual remedies for a SPEKTX-Side Defect. They do not create a right to exchange, store credit, compensation for time, Provider-charge reimbursement, third-party expense reimbursement, consequential damages, or replacement with a different Edition.

7. Customer cooperation

Customer must reasonably provide the Order ID, Edition, version, affected surface, error message, reproduction steps, relevant non-sensitive logs, operating-system information, and confirmation that the package was not modified.

Customer is not required to disclose unrelated confidential content, Provider or Channel credentials, private project files, or proprietary data.

8. Mandatory law

This Policy does not waive a remedy that applicable law makes non-waivable. No voluntary refund promise is created by acknowledging that mandatory law controls where legally required.


CHORIX SOCIAL COMMAND PRIVACY NOTICE

Incorporated by reference under Section 1 of the Master Agreement. It is a separate document and is not reproduced here.

In summary only, and subject to that notice: Chorix Social Command keeps its database, identity, media, and settings on Customer's PC under %LOCALAPPDATA%\ChorixSocialCommand; SPEKTX runs no server that stores them; and data leaves the PC only where Customer or a Seat sends it, including to the Provider whose sign-in or key a Seat uses and to the Channels Customer connects, and when the Licensed Software renews its License File from SPEKTX's site (License File and Renewal Schedule, Section 4), which sends the License File, not Customer Content.


CHORIX SOCIAL COMMAND PURCHASE, DELIVERY, AND CHARGEBACK TERMS

1. Order

The Order Confirmation identifies the purchaser, Edition, price, billing period, tax, license option, delivery method, and order or license identifier, and states the automatic monthly renewal, the cancellation terms, and how to cancel, including a cancellation link. Customer must review the Order Confirmation before payment and promptly report an incorrect email address before delivery.

Checkout is SPEKTX's order page on which the price, the renewal and cancellation terms, and the required acknowledgments are shown before Customer pays.

2. Price and taxes

Chorix Social Command is a monthly subscription, billed monthly in US dollars. Intentionally not offered for sale. The commerce system behind this product is built and proven. The price shown at Checkout, and stated in the Order Confirmation, is the price that binds. Customer may cancel at any time; cancelling stops the next renewal.

SPEKTX may change the standard price only for periods that have not yet begun, with notice before the renewal, as Section 27 of the Master Agreement states.

Customer is responsible for applicable sales, use, value-added, withholding, or similar taxes, except taxes imposed on SPEKTX's net income. A marketplace or payment provider may calculate, collect, or remit taxes where required.

3. License option

The license is a monthly subscription. It renews each month until cancelled, as the Order Confirmation states, and lapses if a payment is not received, as Section 9 of the License File and Renewal Schedule states.

Provider subscriptions, API charges, Channel charges, communications charges, and other third-party costs are separate.

4. Delivery

Delivery may occur through a download link, license entitlement, email, portable package, or another method identified at Checkout. Delivery includes the License File. Customer must provide a functioning email address and retain the package, agreement package, Order Confirmation, and license information.

5. Immediate digital delivery

Customer requests delivery of digital content as soon as payment and required acceptance are completed. Where applicable law gives Customer a right to cancel a distance contract within a cancellation period (in the EU and UK, 14 days), Checkout asks Customer, before supply begins, for express consent to supply beginning immediately and for Customer's acknowledgment that the right to cancel will be lost once supply begins. Both are recorded, and delivery does not begin until both are given. Cancelling the subscription to stop the next renewal remains available at any time, as Master Agreement Section 18 states.

6. Refunds and final sale

The Cancellation, Refund, and Limited Conformity Remedy is incorporated, as Master Agreement Section 18 states.

7. Duplicate or unauthorized charge

A duplicate charge, processor error, or genuinely unauthorized transaction is not treated as purchaser remorse. Customer should promptly contact admin@chorixstudiosc.com and the payment provider so the transaction can be investigated and corrected as required.

A renewal payment charged after Customer cancelled before the renewal date is refunded in full within 10 business days after SPEKTX learns of it, and the subscription is not renewed, as Master Agreement Section 18 states. No card dispute is needed.

8. Chargebacks and payment disputes

Nothing restricts a payment-dispute right that applicable law or payment-network rules make non-waivable. A knowingly false chargeback, or other payment fraud, is a material breach and may result in suspension or termination of entitlement. SPEKTX may provide the payment provider with the Order Confirmation, renewal and cancellation disclosure, delivery evidence, signed Acceptance Record, agreement hashes, support history, and other transaction evidence reasonably necessary to respond to a dispute.

9. Failed or reversed payment

If a renewal payment fails, the license continues through the Grace Period and then lapses, as Section 9 of the License File and Renewal Schedule states; a later successful payment restores it when the License File is renewed. If a payment is reversed or fraudulent, SPEKTX may withhold delivery, suspend entitlement, or terminate the affected license, and a later successful payment does not automatically restore a terminated entitlement unless SPEKTX confirms restoration.

10. Package reconciliation

A verified SPEKTX-side package defect is handled under the Limited Conformity Remedy. Customer should contact admin@chorixstudiosc.com with the information reasonably necessary to reproduce the issue.


CHORIX SOCIAL COMMAND THIRD-PARTY NOTICES

Third-Party Notices for each Licensed Version are delivered inside the customer package as THIRD-PARTY-NOTICES.txt. They are generated from the exact delivered bundle and are incorporated into this Agreement for the materials they identify.

Third-party components are licensed under their own terms. Those terms govern those components and prevail over this Agreement where they conflict. Where a third-party license requires that source be offered, it is available on request to admin@chorixstudiosc.com.
